OSS Capital L.P. Research Document
Investment Thesis
OSS Capital is the first and only early-stage VC exclusively dedicated to backing leading COSS (Commercial Open Source Software) startup founders on a global basis since 2018. Founded by Joseph Jacks, the firm believes that "open source is eating software faster than software is eating the world."
The fund's core philosophy centers on the intersection of philanthropy and capitalism: they believe that commercial open source startups represent the most well-suited type of capitalism for accelerating open source innovation. Unlike pure open source projects, OSS Capital invests in businesses that use open source as a distribution model while building sustainable commercial models—particularly through the "open core" approach where core functionality is open source but enterprise features are premium offerings.
Joseph Jacks articulates this clearly: "There's a fundamental difference between 'open source' and 'commercial open source.' Open source is a licensing paradigm, a technology development paradigm, a philosophy — that is not what I invest in; OSS Capital does not invest in open source. We manage money for people to multiply their investment, and make them tons more money. And I do what I do because I'm also very interested in making tons of money."
The fund's conviction is that the "open core" approach will ultimately replace closed-core SaaS companies, representing a fundamental shift in how enterprise software is built and distributed.
Fund Structure & Stage Focus
OSS Capital operates as the first institutional VC fund exclusively dedicated to commercial open source software globally. The fund has now raised three funds, each approximately $50 million in size, with plans to close a fourth fund by early 2026. This represents a total of ~$150M+ in assets under management across three funds, with potential for growth to $200M+ once Fund IV closes.
