Overlap Holdings Research
Investment Thesis
Overlap Holdings is a New York-based venture capital firm founded in 2022 by Justin Stevens, a former 18-year Senior Partner at Apollo Global Management. The firm brands itself as bringing "Wall Street meets Silicon Valley" to frontier tech investing: it pairs early-stage equity checks with an in-house financial-structuring practice that helps capital-intensive startups navigate debt and non-dilutive government funding. The stated mission is to "refocus venture capital on solving world-scale problems" by fixing the financing gap that keeps capital away from hardware-intensive frontier tech in favor of software.
Overlap operates three integrated business lines: (1) Investing — equity checks into Seed through Series B rounds; (2) Capital Solutions — debt/lender matchmaking services, drawing on 30+ years of financial-structuring expertise and a network of 250+ lender relationships, offered free to portfolio companies; and (3) Government Solutions — advisory on non-dilutive government funding (grants, defense contracts, DoD relationships), also free to portfolio companies. The firm explicitly does not lead equity rounds, instead following well-regarded co-investors while differentiating on this financing value-add.
Sector Focus
Overlap invests exclusively in "frontier tech" — companies building at the intersection of scientific innovation and hardware. Publicly stated focus sectors are Energy, Life Science, Materials Science, Space, Robotics, and Semiconductors. The firm is explicitly skeptical of pure software investing; founder Justin Stevens has written publicly (Crunchbase News) arguing pure software has become overcrowded and undifferentiated relative to hardware/frontier tech.
Stage Focus
Overlap invests in Seed, Series A, and Series B equity rounds ("early-stage, Seed through Series B" per its own materials). It does not do pre-seed or growth-stage equity as a matter of stated strategy.
Check Size
The firm's debut fund, Overlap Holdings Flagship Fund 1 (OHF1), closed at $33 million in February 2025. Per the firm's own announcement, it targets 30–35 total investments out of that fund at an average check of roughly $700,000.
Lead Tendency
Overlap does not lead rounds. Per its About page: "We do not lead rounds, but prefer to follow great VCs while providing a differentiated value-add" — namely, the free Capital Solutions and Government Solutions financing help.
Recent Activity
OHF1 held its final close in February 2025 at $33 million, and the firm has stated it is actively deploying toward its 30–35 investment target. As of this research, the publicly listed portfolio includes 17 named companies plus two disclosed stealth investments. Notable recent portfolio activity includes portfolio company Tahoe Therapeutics (formerly Vevo Therapeutics) raising a $30 million round in August 2025 to build AI models of human cells for drug discovery.
Portfolio Highlights
Overlap's portfolio spans its target sectors: Impulse Space and Starfish Space (space logistics/mobility), Muon Space (satellites), Hadrian and Foundation Alloy (advanced manufacturing/materials), Aerones (robotics), Efficient Computer (low-power silicon/compute), Anthro Energy and Antora (energy/thermal storage), XFuel (energy), Glacier (waste/recycling robotics, backed alongside NEA and EIF), Integrated Biosciences and Ridge Biotechnologies (life sciences), Mendaera (medical robotics), Lydian (life sciences), SiPhox Health (diagnostics, a Y Combinator alum backed alongside Khosla Ventures and Intel Capital), and Tahoe Therapeutics (AI-driven drug discovery). No exits have been publicly disclosed to date, consistent with the firm's young age (founded 2022, fund closed 2025).

Decision Process
Overlap runs a small dedicated Investing Team (Stevens, Jaswal, Ahrens) alongside COO Rob Morelli, functioning as a partnership rather than a single decision-maker; sourcing and diligence draw on a network of technical experts across the firm's focus industries.
Founder Preferences
While not explicitly stated, Overlap's portfolio and thesis point toward technical founders building hardware-intensive, IP-defensible businesses in capital-intensive sectors — the opposite of the "two college kids and an app" software risk profile the firm has publicly criticized.
Geographic Focus
Headquartered in New York City. Publicly listed portfolio companies are overwhelmingly US-based (California, and other US frontier-tech hubs); no explicit international geographic focus is stated.
Notable Signals
Overlap has generated above-average press for a firm of its size and age: The Wall Street Journal profiled its debt-advisory/venture hybrid model at fund launch; Fortune's Term Sheet newsletter featured founder Justin Stevens on founder-control and governance trends; Business Insider covered the launch of the firm's Government Solutions business and the hire of Elizabeth Stockton to lead it; and both Stevens and Morelli have contributed bylined opinion pieces to Crunchbase News.
