Fitz Gate Ventures Research
Investment Thesis
Fitz Gate Ventures is a network-driven, early-stage venture firm formed in 2015. Its edge is a proprietary community of hundreds of advisors it calls Friends of Fitz: startup founders, venture capitalists, university professors, subject matter experts and senior executives. The firm says this network refers thousands of companies a year, supplies expert diligence (one call away from an expert in nearly any industry) and opens doors to customers, partners and later-round investors after it invests. Fitz Gate says it invests in the top 1-2% of companies it reviews, mostly from trusted sources, and that it sources independently rather than following other funds.
Sector Focus
Fund III is a generalist fund with a sub-focus on deep tech and hard tech, including university tech transfer, where the firm has had prior success (Quantum Circuits out of Yale, Optimal Dynamics out of Princeton, Celestial AI in photonics). The portfolio also spans:
- Semiconductors and photonics (Celestial AI, Oso Semiconductor)
- Quantum computing (Quantum Circuits)
- Robotics and industrial automation (Trener Robotics)
- Biotech and diagnostics (Verge Genomics, March Biosciences, PATH EX, Tendo, Sensetics)
- Space and defense technology (Kapta Space)
- Enterprise software, fintech and consumer (SmartAsset, FiscalNote, Uplevel, Optimal Dynamics, Overtime, Paravel, Cheers)
Stage Focus
Early stage, typically pre-seed and seed, with some seed+ and follow-on participation. The firm led the seed+ round for Celestial AI and was the first institutional investor in Quantum Circuits. It reserves for follow-ons.
Check Size
Initial checks of $500K-$1M per the firm's own site; a Princeton technology-licensing resource page cites $500K-$2M. Fitz Gate will lead, co-invest or invest alone.
Lead Tendency
Both. Founder quotes describe Fitz Gate leading rounds, setting terms and taking the only board seat (Realworld), while it also co-invests alongside other funds and invests alone when needed.
Recent Activity
- December 2025: closed Fund III with Rice University's Office of Innovation as an anchor investor; total AUM across three funds is about $70M.
- December 2025: Fund II portfolio company Celestial AI agreed to be acquired by Marvell Technology for about $5.5 billion.
- January 2026: Quantum Circuits sold to D-Wave Quantum for about $550 million.
- July 2026: Oso Semiconductor investment (per PitchBook).
- October 2026: Kapta Space raised a $24M Series A for moving-target radar payloads.
The firm says it has produced unicorns from each of Fund I (SmartAsset) and Fund II (Celestial AI).
Portfolio Highlights
Exits include Celestial AI (Marvell), Quantum Circuits (D-Wave) and Uplevel (acquired). FiscalNote went public on the NYSE. Other holdings include SmartAsset, Optimal Dynamics, Overtime, Verge Genomics, NewsGuard, Paravel, Spruce, Kapta Space, Oso Semiconductor and Trener Robotics.
Team
- Jim Cohen, Co-Founder & General Partner: former EVP Corp Dev & M&A at Consolidated Graphics, co-founder and GP of Main Street Capital, ex-Simpson Thacher corporate lawyer; adjunct professor at Rice Jones School and lecturer at Princeton.
- Mark Poag, Co-Founder & General Partner: software entrepreneur (DigiContract CEO, Datacert SVP), former Bracewell corporate lawyer; adjunct at Rice Business and lecturer at Princeton.
Decision Process
Partnership of two general partners; no committee described. Both teach venture capital and mentor at Techstars NYC, Princeton Keller Center, NSF I-Corps and the Rice Alliance, which feeds university deal flow.
Founder Preferences
Founders who are university spinouts or technical founders in deep tech, and founders who value a network-based value proposition (customer introductions within weeks, introductions to top-tier co-investors). Testimonials emphasize speed of introductions.
Geographic Focus
Fund III invests anywhere in the U.S.; historically concentrated in New York and Texas ecosystems. Co-investors in follow-on rounds have included Andreessen Horowitz, Sequoia, Bessemer, Bezos Expeditions, Fidelity, KKR, First Round and others, which suggests warm introductions into top-tier syndicates are a core benefit.
